Terms and Conditions

These Terms govern access to and use of the YUMEYU platform, both for those who attend events and for those who organise them. Please read them carefully: by accepting them you enter into a binding agreement with HOST SERVICE S.R.L.
1. Definitions
YUMEYU or Platform: the service available at yumeyu.it and client.yumeyu.it and through the YUMEYU mobile applications for iOS and Android.
Provider: HOST SERVICE S.R.L., Via Bagutta 13, 20121 Milan (MI), Italy, VAT no. 13452640967.
User: anyone who registers for or uses the Platform.
Organiser: a User who creates and publishes an Event on the Platform.
Event: an activity created by an Organiser, whether free or paid.
Ticket: the right of admission to an Event, issued in the name of a specific holder, in digital form with a QR code.
2. Scope and acceptance
These Terms govern access to and use of the Platform. By registering for or using the Platform, the User declares that they have read and accepted these Terms and the Privacy Policy. Those who do not accept them may not use the service.
Acceptance is given by explicit tick at the time of registration, including registration through a Google or Apple account, and is recorded by the Provider together with the date, time and version of the document accepted.
The same Terms also apply to those who organise: by creating an Event on the Platform, the User takes on the obligations set out in Articles 9 to 17, with no separate acceptance required.
3. Registration and account
3.1 Registration is available to natural persons aged 16 or over. For users under 18, paid purchases require the consent of the person holding parental responsibility.
3.2 The User provides truthful, complete and up-to-date information and keeps it current.
3.3 The account is personal and non-transferable. The User is responsible for their credentials and for all activity carried out through their account, and must promptly notify the Provider of any unauthorised access.
3.4 By registering through Google or Apple, the User authorises the Platform to receive from the identity provider their first name, last name, email address and profile picture, where available, in order to create and manage the account.
3.5 The User may close their account at any time. Closing the account does not cancel Tickets already purchased or obligations already incurred.
4. The role of YUMEYU
4.1 YUMEYU is a technology platform that allows Organisers to publish Events, manage interaction with attendees and issue Tickets, and allows Users to discover Events and purchase Tickets.
4.2 The Provider is not the organiser of the Events. The contract for attendance at an Event is concluded directly between the User and the Organiser. The Provider is not a party to that contract and is not liable for the running, content, quality, cancellation or postponement of Events, nor for the information entered by the Organiser.
4.3 In respect of Ticket sales, the Provider acts as a technical intermediary and as collection agent on behalf of the Organiser.
5. User conduct and content
5.1 The User may not use the Platform for unlawful purposes or in breach of the rights of others.
5.2 During Events the Platform allows messages, voice notes, posts and quiz answers to be submitted. It is prohibited to submit content that is offensive, defamatory, discriminatory or obscene, that infringes the privacy of others or copyright, or that constitutes spam or unauthorised advertising.
5.3 Content submitted during an Event may be moderated, automatically or by a person, before being displayed in the venue or to other attendees. The Provider and the Organiser may reject, filter or remove any content, including without notice.
5.4 By submitting content, the User grants the Provider and the Organiser a non-exclusive, royalty-free licence, limited to the duration and purposes of the Event, to reproduce and display it within the Event.
5.5 It is prohibited to attempt to access restricted areas, circumvent security controls, carry out mass scraping, overload the systems or reproduce Tickets.
6. Tickets, prices and payments
6.1 Prices, fare types, availability, seating and conditions for each Event are set by the Organiser and shown on the Event page.
6.2 Payments are processed through the payment service provider Stripe. The Provider does not process or store full payment card details.
6.3 Every Ticket is issued in the name of a specific holder: at the time of purchase the first name, last name and email address of each Ticket holder must be provided. Admission to the Event may be subject to verification of the holder's identity.
6.4 The purchase is completed upon confirmation of payment. The Ticket is made available in the User's personal area and sent by email, in digital form with a QR code.
6.5 At the time of purchase the User also accepts the purchase terms set by the Organiser for that specific Event, shown before the order is confirmed. Those terms govern, among other things, refunds, name changes, admission rules and conduct at the venue.
6.6 The same rules apply to free Tickets: booking still requires acceptance of the Organiser's terms.
6.7 A Ticket may be purchased for another person. In that case the purchaser remains the sole party to the contractual relationship and must pass on to the recipient the conditions applicable to the Event.
7. Refunds, cancellations and right of withdrawal
7.1 Under Article 59(1)(n) of the Italian Consumer Code, the right of withdrawal does not apply to contracts for entertainment or leisure services tied to a specific date or period.
7.2 Refunds, changes and name changes are governed by the Organiser's terms. Requests must be submitted to the Organiser through the support function available on the Platform.
7.3 If the Organiser cancels the Event, the refund is the Organiser's responsibility and is issued through the Platform, credited back to the same payment method used.
7.4 The Provider may withhold amounts due to the Organiser while support requests relating to the Event remain open.
8. Support
Requests relating to a Ticket may be opened by the User until 24 hours after the Event has ended. The Organiser is required to respond; the Provider may step in if no response is given.
9. Organising events: requirements
9.1 The Organiser declares that they have the legal capacity and the powers required to organise the Event and to be bound by these Terms, including on behalf of any entity they represent.
9.2 For paid Events the Organiser must meet the tax requirements imposed by applicable law and provide the identification details requested when payments are activated.
10. The Organiser's responsibility for the Event
10.1 The Organiser is solely responsible for the Event: content, programme, speakers, venue, attendee safety, capacity, permits, copyright collecting society formalities and every other legal obligation, including tax and insurance obligations.
10.2 The Organiser warrants that the information published is truthful, complete and not misleading, and updates it promptly if it changes.
10.3 The Organiser warrants that they hold the rights to all uploaded materials (images, text, documents, slides, logos, trade marks, speaker content) and to the use of the details of the speakers listed.
10.4 The contract for attendance at the Event is concluded between the Organiser and the purchaser. The Provider is not a party to it.
11. Purchase terms set by the Organiser
11.1 For every Event that issues Tickets, whether free or paid, the Organiser must provide their own purchase terms, which are shown to the purchaser and accepted by them before the order is confirmed.
11.2 Those terms must state at least: refund conditions and deadlines; cancellation and postponement rules; whether name changes are permitted; admission requirements and documents required; rules of conduct at the venue.
11.3 The terms provided must comply with applicable law, in particular the Italian Consumer Code. They may not contain void unfair terms, derogate from mandatory consumer rights, or contradict the Platform Terms. The Provider does not review their substance and is not liable for them.
11.4 The Organiser may set a default text in their settings: it is copied into new Events when they are created. Changing the default text does not change the terms of Events already created, nor those already accepted by purchasers.
12. Payouts, fees and payments to the Organiser
12.1 Proceeds from paid Events are handled through Stripe. The Organiser must complete the activation of their payment account before a paid Event can be published.
12.2 On the gross value of each Ticket sold, the Provider retains a service fee of 3%, in addition to the fees charged by the payment service provider.
12.3 Amounts are held until the Event has ended. Transfer to the Organiser takes place afterwards, subject to verification that no support requests are open and no refunds are pending in relation to the Event.
12.4 The Provider may withhold or suspend the transfer where there is a suspicion of fraud, payment disputes, requests from the competent authorities, or breaches of these Terms.
12.5 Issuing tax documents to attendees remains the Organiser's responsibility. The Provider issues the Organiser with the document covering its own fees.
13. Refunds and cancellation by the Organiser
13.1 If the Event is cancelled, the Organiser must refund purchasers in full through the Platform and give prompt notice of the cancellation.
13.2 The Organiser handles refund requests in accordance with their own purchase terms and responds to support requests within a reasonable time.
13.3 Service fees already accrued may not be returned where a refund is issued at the Organiser's discretion, unless otherwise agreed.
14. Attendees' personal data
14.1 For attendee data processed for its own purposes (managing admission, communications about the Event, legal obligations) the Organiser acts as an independent data controller and is responsible for compliance with Regulation (EU) 2016/679.
14.2 The Organiser may not use attendee data for promotional purposes without a valid legal basis and consent collected in its own right.
14.3 The Organiser may not transfer attendee data to third parties except where permitted by law.
15. Event content and licence
The Organiser grants the Provider a non-exclusive, royalty-free licence to reproduce and display the Event materials (title, description, images, logo) within the Platform and in promoting the Events it hosts, for as long as the Event is published.
16. Certificates of attendance
Where the Organiser enables the issuing of certificates of attendance, it determines their content and is responsible for the accuracy of the statements they contain. The Provider supplies only the technical means of generating and verifying them.
17. Organiser indemnity
The Organiser shall indemnify the Provider against any claim, damage, penalty or expense, including legal costs, arising from the Event, the content published, the purchase terms provided, the processing of attendee data or a breach of these Terms.
18. Intellectual property
Trade marks, logos, software, interfaces, text and graphics of the Platform belong to the Provider or its licensors. Nothing in these Terms transfers intellectual property rights to the User, other than the limited and revocable right to use the Platform in accordance with these Terms. Event content remains the property of its respective owners.
19. Suspension and closure
The Provider may suspend or close a User's account, with notice where possible and without notice in urgent cases, in the event of a breach of these Terms, fraudulent activity, or conduct that puts the security of the Platform or of other Users at risk.
The Provider may suspend the publication of an Event or the Organiser's account in the event of a breach of these Terms, well-founded reports, suspected fraud or a request from the authorities.
20. Service availability and limitation of liability
20.1 The Provider undertakes to operate the Platform with the professional diligence required, but cannot guarantee the complete absence of interruptions, errors or unavailability, including those caused by maintenance or by third parties.
20.2 The Provider is not liable for damage arising from: the running, content, cancellation or postponement of Events; information entered by Organisers; the conduct of Users or Organisers; malfunctions of the User's devices or connection.
20.3 Nothing in these Terms limits the Provider's liability for wilful misconduct, gross negligence, personal injury, or in any case where the law does not permit limitation, including the mandatory rights granted to consumers.
21. Personal data
The processing of personal data is described in the Privacy Policy. For data collected in connection with an Event, the Organiser may act as an independent data controller for its own purposes.
22. Changes to these Terms
The Provider may amend these Terms for technical, regulatory or organisational reasons. Substantial changes are communicated to Users, who are asked to accept again on their next access. Failure to accept prevents further use of the Platform and does not affect Tickets already purchased.
23. Governing law and jurisdiction
These Terms are governed by Italian law. For disputes with Users qualifying as consumers, the courts of the consumer's place of residence or elected domicile have jurisdiction. In all other cases the Courts of Milan have exclusive jurisdiction.
In relations between the Provider and an Organiser acting in the course of a business or profession, the Courts of Milan have exclusive jurisdiction.
